Welcome to Twocents! These Terms of Use ("Terms") govern your access to and use of the Twocents platform, website, and associated services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. Acceptance of Terms
By creating an account or using the Services, you agree to these Terms, our Privacy Policy, and any other policies or guidelines we provide. If you are accessing the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Eligibility
You must be at least 13 years old to use the Services. By using the Services, you represent that you meet this minimum age requirement.
3. Account Registration
For Patrons
- Account Creation: Patrons must create an account to submit feedback and participate in the rewards program. You will be required to provide a valid email address or phone number and may optionally provide your name.
- Account Security: You are responsible for maintaining the confidentiality of your login credentials. If you suspect unauthorized access to your account, you must notify us immediately.
For Businesses
- Account Creation: Businesses must create an account using an email address or phone number. Business users will have access to feedback from Patrons and may upgrade to a premium subscription to access additional features.
- Account Security: Business users must maintain the confidentiality of their login credentials. Notify us immediately if you believe your account has been compromised.
4. Use of Services
- Permitted Use: You may only use the Services in accordance with these Terms and applicable laws.
- Prohibited Conduct: You agree not to:
- Use the Services for unlawful purposes.
- Impersonate another person or misrepresent your affiliation.
- Interfere with, disrupt, or compromise the integrity or security of the Services.
- Collect or store personal information of other users without their consent.
5. Submissions and User Content
- Patron Submissions: When you submit feedback, you grant Twocents a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content for the purpose of providing the Services to Businesses.
- Anonymous Submissions: Patrons may choose to submit feedback anonymously, but any optional inclusion of their name will be visible to the Business.
- Name Disclosure: If a Patron includes their name when submitting feedback (or has provided a name during account setup), that name may be visible to the Business receiving the feedback. This visibility is intended to help businesses provide better, more personal responses.
- Prohibited Content: You agree not to submit feedback that is defamatory, obscene, abusive, harassing, or otherwise violates any laws or regulations.
6. Subscription and Payments (For Businesses)
- Free Tier: Businesses may sign up for a free tier account to receive and view customer feedback.
- Premium Subscriptions: Businesses may opt into a paid subscription to access premium features. By subscribing, you authorize us to charge your credit card or payment method on a recurring basis.
- Cancellation: Businesses can cancel their premium subscription at any time via the account dashboard or by contacting customer support. Cancellation will take effect at the end of the current billing cycle.
- Refunds: Unless required by law, payments for premium subscriptions are non-refundable.
7. Ownership and Intellectual Property
- Our Ownership: Twocents and its licensors retain all rights, title, and interest in the Services, including intellectual property rights.
- Limited License: We grant you a limited, non-exclusive, non-transferable license to use the Services for your personal or business purposes.
8. Data Ownership, Privacy & Export
- Patron Feedback and Data:
- Twocents collects and processes feedback submitted by Patrons for the purpose of improving business services.
- All feedback and customer data are governed by Twocents' Privacy Policy.
- Merchant Access and Export Rights:
- Businesses may access and export anonymized feedback, aggregated insights, sentiment trends, and non-identifiable metadata.
- If a Patron has submitted feedback with their name (or created an account with their name and did not choose anonymity), that name may appear alongside feedbackin merchant dashboards and exports.
- Email addresses and phone numbers are not included in exports and are only shared with Businesses when a Patron explicitly opts in
- Use Restrictions:
- Businesses agree to use any exported data only for legitimate purposes related to customer service or experience improvement.
- Businesses may not sell, transfer, or misuse exported data in any way that violates Patron consent or applicable privacy laws.
- Platform Integrity:
- Twocents retains the right to suspend or restrict access to user data in cases of abuse or breach of these Terms.
- Twocents may provide additional tools for managing data export and permissions, including audit logs
9. Privacy
We collect and use your information as described in our Privacy Policy. By using the Services, you consent to this collection and use of information.
9. Termination of Use
- Termination by You: You may stop using the Services at any time.
- Termination by Us: We reserve the right to suspend or terminate your access to the Services if you violate these Terms, fail to pay subscription fees, or engage in other activities that compromise the integrity of the Services.
10. Disclaimers and Limitation of Liability
- No Warranty: The Services are provided "as is" and "as available" without warranties of any kind.
- Limitation of Liability: To the maximum extent permitted by law, Twocents shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Twocents and its affiliates, officers, directors, and employees from any claims, damages, or expenses (including attorney’s fees) arising from your use of the Services, violation of these Terms, or infringement of any rights of a third party.
12. Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles.
- Arbitration: Any disputes arising from these Terms will be resolved through binding arbitration in [Insert City, New Jersey], in accordance with the rules of the American Arbitration Association (AAA).
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, technology, or legal obligations. We will notify users of any material changes by posting the revised Terms on our website and updating the "Effective Date."
14. Refund Policy
Twocents offers a subscription service (“Premium”) that provides additional features for businesses beyond our free plan. Please review our refund terms below:
1. First-Time Purchases
We offer a full refund if you cancel your initial Premium subscription within 7 days of your first payment. To request a refund, email us at hello@twocents.io within this 7-day window.
2. Renewals
All renewals of your subscription (monthly or annual) are non-refundable. However, if you believe you were charged in error, please contact us within 3 days of the renewal date and we'll review your request.
3. Downgrades and Cancellations
If you downgrade from Premium to the free plan or cancel your subscription, your Premium features will remain active until the end of your current billing cycle. We do not offer partial refunds or prorated credits for unused time.
4. Free Reverse Trial
All new businesses receive temporary access to Premium features as part of a free trial period, with no credit card required. At the end of the trial, access to Premium features will automatically expire unless you choose to subscribe. Since no payment is collected during the trial, refunds do not apply during this period.
5. Discretionary Refunds
If you believe you were charged in error, or you experience a technical issue that prevents proper use of the service, please contact us at hello@twocents.io. We review such cases individually and may issue a refund at our sole discretion.
